Important: Services are provided "as is" and we reserve the right to modify, suspend, or discontinue any service with reasonable notice.

3. User Accounts and Responsibilities

Account Creation

To access our services, you must create an account with accurate and complete information. You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use
  • Keeping your account information current and accurate

Account Security

  • Log out from shared devices

Violations may result in immediate service suspension and legal action.

7. Billing and Payments

We may change our pricing with 30 days' written notice. Price changes will not affect your current billing cycle.

Service Level Definitions

CRITICAL NOTICE: The following definitions are strictly and exclusively applied to determine service availability. These definitions are final and non-negotiable.

Downtime Definition: Downtime occurs exclusively when 100% of all our service infrastructure becomes completely inaccessible for a continuous period exceeding 10 minutes.

SLA Calculation: Uptime percentage calculated using total monthly minutes minus only verified complete downtime.

Service Credits: Maximum credits per month: 25% of base monthly fees. Credits provided as account credit only.

9. Limitation of Liability

ALL SERVICES PROVIDED "AS IS": Our services are provided strictly "as is" and "as available" without warranties of any kind.

Limitation of Damages

Zefirius shall not be liable for any damages including:

  • Direct, indirect, incidental, special, or consequential damages
  • Loss of profits, revenue, data, use, or goodwill
  • Business interruption or operational downtime
  • Security breaches or data theft by third parties

Maximum Liability: Our total liability shall not exceed the lesser of $100 USD or the amount paid in the preceding 3 months.

10. Customer Risks and Responsibilities

Customer explicitly acknowledges and assumes all risks associated with:

  • Internet-based services and their security vulnerabilities
  • Potential data loss, corruption, or unauthorized access
  • Service interruptions or performance degradation
  • Cybersecurity threats and evolving threat landscape

Customer Security Obligations

Customer is solely responsible for:

  • Maintaining secure access credentials
  • Implementing backup and disaster recovery procedures
  • Ensuring compliance with applicable laws
  • Training employees on security best practices

11. Intellectual Property

Our Rights

All content, features, and functionality of our services are owned by Zefirius and protected by international copyright, trademark, and other intellectual property laws.

Your Rights

You retain ownership of any data you upload to our platform. By using our services, you grant us a limited license to process your data as necessary to provide our services.

License to Use

We grant you a limited, non-exclusive, non-transferable license to use our services in accordance with these Terms.

12. Termination

Termination by You

You may terminate your account at any time by contacting our support team. Upon termination, your access to the services will cease.

Termination by Us

We may terminate your account if you:

  • Violate these Terms or our Acceptable Use Policy
  • Fail to pay fees when due
  • Engage in activities that harm our services or other users

Effect of Termination

Upon termination, we will provide you with reasonable opportunity to retrieve your data, subject to applicable law and our data retention policies.

13. Governing Law and Dispute Resolution

Governing Law

These Terms are governed by and construed in accordance with the laws of Costa Rica, without regard to conflict of law principles.

Dispute Resolution

Any disputes arising from these Terms will be resolved through:

  1. Good faith negotiations
  2. Mediation, if negotiations fail
  3. Binding arbitration as a last resort

Jurisdiction

You agree to submit to the exclusive jurisdiction of the courts in San José, Costa Rica for any legal proceedings.
